Your use of our website at https://allianceanimal.com/ and any of its subdomains, and any other websites owned or hosted by Alliance Animal Health (together, our “Site”), any mobile applications we own or host (the “App”, and together with our Site, the “Platform”), and any products or services (“Services”) offered through the Platform is governed by these Terms of Service (the “Terms”). By using or accessing our Platform, you confirm that you understand and accept these Terms and the Privacy Policy, which are incorporated into these Terms by reference. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR PLATFORM OR SERVICES.

Our Platform is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using this Platform, you represent and warrant that you are of legal age to form a binding contract with Alliance Animal Health (also referred to as “we,” “us” and “our”) and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Platform or our Services.

1. Medical Emergency

THE PLATFORM AND OUR SERVICES SHOULD NOT BE USED IN ANY URGENT OR EMERGENCY SITUATIONS. IF YOU THINK YOUR PET MAY HAVE A MEDICAL EMERGENCY OR MAY NEED URGENT MEDICAL ATTENTION, CALL YOUR VETERINARIAN OR AN EMERGENCY VETERINARY PROVIDER IMMEDIATELY.

2. Other Terms May Apply

Unless we indicate otherwise, these Terms do not apply to veterinary clinics owned and operated by Alliance Animal Health or under the same umbrella as Alliance Animal Health, or third-party clinics and hospitals with whom we partner. These clinics are referred to as “Partner Clinics”. We encourage you to review the applicable Partner Clinic terms of use and privacy policies when you visit their website, which may govern your use of their website and services.

3. These Terms and Our Services May Change

We may update and amend these Terms from time to time in our sole discretion, including by adding, deleting or modifying terms. If the changes to these Terms materially modify your rights or obligations, they will be effective on the earlier of the date upon which you consent to them or thirty (30) days from the date on which we notify you of the updates. If the changes do not materially modify your rights or obligations, they will be effective when posted on any part of the Platform, and your continued use of the Platform or Services after the posting of any changes to these Terms will mean that you accept and agree to the changes. Every time you wish to use the Platform, please check these Terms to ensure you understand the terms that apply to you at that time.

We reserve the right to make changes to how we operate our business, including to any portion of the Platform, including adding new Services, modifying existing Services, or suspending, discontinuing, or terminating your access to any or all portions of our Services, at any time, in our sole discretion, and without notice to you. We will not be liable if for any reason all or any part of the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some or all of the Platform to users, including registered account users.

4. Accessing our Services

A. Account Creation

In order to access certain Services available through the Platform, you may be required to register for, or be an authorized user of, a registered user account (“Account”). To be eligible for an Account, you must:

  • Reside in the United States;
  • Be of legal age in your state of residence, and a minimum of 18 years; and
  • Provide your full legal name and have a valid and unique email address.

You agree to provide us with accurate, complete and updated Account information. Failure to do so will constitute a breach of these Terms, which may result in immediate termination of your Account.

B. Account Security

You are responsible for maintaining the security of the login credentials for your Account. Your Account may include personal and sensitive information, including financial information, and you should treat your login credentials, such as your name, username or password as confidential. You may not allow others to use your Account; this includes furnishing your username and password to third-party developed applications to connect to your Account for any reason, unless authorized by us. You are responsible for all activity that occurs under your Account, including any activity by unauthorized users.  If you become aware of unauthorized access to your Account, change your password and notify us immediately. We will not be liable for any loss or damage arising from your failure to comply with this Section.

C. Termination

We may suspend or terminate your Account, and/or deny you access to use portions or all of the Platform, or any of our Services, without prior notice, if you engage in any conduct that we believe, in our sole discretion: (1) violates any part of these Terms, (2) violates our rights or those of third parties, (3) fails to comply with laws or regulations, or (4) is otherwise inappropriate. These Terms will continue to apply even if you are suspended or terminated.

You have the right to terminate these Terms by reaching out to us to terminate your Account. Please note that there may be prerequisites to your ability to terminate depending on the Services you have accessed or used.

5. License and Restrictions

A. License and Use

As long as you comply with these Terms, we grant you a personal, non-exclusive, revocable, non-transferrable license to use the Services and the Platform, and view the content, information, data, products, and materials contained, described, referenced, or available on the Platform (collectively, “Materials”) for your personal and non-commercial purposes if you are an individual, and for your internal business purposes if you are a Partner. In connection with this license, you may download Materials, provided that you do not modify or alter the Materials in any way, nor delete, obscure, or change any copyright, trademark, or other intellectual property notice therein, or use the Materials in any way that is in contravention of these Terms. Neither title nor intellectual property rights are transferred to you, but remain with Alliance Animal Health, who, along with its licensors, is the exclusive owner of all rights, title and interest therein. Except as otherwise expressly provided, all rights are reserved to Alliance Animal Health.

B. Feedback

Unless otherwise indicated, if you send or transmit any communications, comments, questions, suggestions, or related content to Alliance Animal Health, whether through the Platform, by engaging with our social media pages or handles on third-party platforms, by mail, e-mail, telephone, survey, or otherwise, suggesting or recommending changes, enhancements or improvements to the Platform or the Services (“Feedback”), then you hereby grant us a non-exclusive unrestricted, perpetual, irrevocable, transferable, sub-licensable, royalty-free license to use your Feedback in any manner and for any purpose to provide, optimize, improve, promote, enhance or market our Services, and to create new products and services.

C. Prohibited Activities

While using the Platform, you agree to comply with all applicable laws and regulations, in addition to these Terms and any other terms that may apply. In addition, you agree not to do any of the following:

  • Violate these Terms or any other terms that may apply to your use of the Platform or Services;
  • Breach any applicable laws or regulations, third-party rights or agreements with us;
  • Perform any fraudulent activity, including accessing the accounts of other users without permission, impersonating any person or entity, claiming false affiliations, or falsifying your identity or any information about you, including age or date of birth;
  • Provide false, inaccurate or misleading information to us or any of our Partner Clinics;
  • Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by us or any of our providers or any other third party (including another user) to protect the Platform or Services;
  • Use any device, software, routine, file, or other tool or technology, including but not limited to any viruses, Trojan Horses, worms, time bombs or cancelbots, intended to damage or interfere with any of the Services or service to any user, host or network, or otherwise attempt to disrupt our business, or to surreptitiously intercept or expropriate any system, data, or personal information from the Platform, Services, or our network;
  • Use any automated or programmatic method to extract data or output from the Platform, Services, or our network, including scraping, web harvesting, or web data extraction;
  • Commit unauthorized use of the Platform, your Account or any of the Services, including, but not limited to, unauthorized entry into our systems, seeking access to data that is not intended for you, misuse of passwords, or misuse of any information posted to the Platform;
  • Probe, scan, or test the vulnerability of this Platform or network or breach security or authentication measures without proper written authorization from us;
  • Bypass any territorial restrictions, including IP address-based restrictions that may be applied to the Service;
  • Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, including but not limited to denial-of-service attacks, “spam”, “flooding”, “mail bombing”, “crashing”, or any other such unsolicited overload technique;
  • Send unsolicited mail or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other forms of solicitation;
  • Modify, copy, distribute, publish, license or sell any content on the Platform or accessed through the Services, or any derivative work based on the foregoing, without our prior written consent;
  • Otherwise attempt to invade the privacy of, obtain the identity of, or obtain any personal information about any other customer or user of the Platform or any of the Services;
  • Use the Platform or any of the Services for competitive purposes, including to reverse engineer, decompile, or otherwise translate any part of the Platform, our Services or any of our technology, or to engage in mystery shopping; or
  • Encourage or enable any other person to do any of the foregoing.

Violations of system or network security may result in termination of your account and civil or criminal liability.

D. Intellectual Property

The Platform and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, button icons, images, audio clips, data compilations, software, and the selection, arrangement, and presentation thereof — are owned by Alliance Animal Health, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.

The Alliance Animal Health name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Alliance Animal Health or its affiliates. You must not use any such marks without the prior written permission of Alliance Animal Health. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

E. Copyright Infringement – DMCA Notice

Alliance Animal Health respects the intellectual property rights of others and expects users of the Platform to do the same. If you believe that any content on the Platform infringes a copyright you own or control, you may submit a written notice to our designated copyright agent containing the following information (see 17 U.S.C. § 512(c)(3)):

  • an electronic or physical signature of the person authorized to act on behalf of the copyright owner;
  • identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works are covered by a single notice, a representative list;
  • identification of the material claimed to be infringing and information sufficient to enable us to locate it on the Platform (e.g., a URL);
  • your name, address, telephone number, and email address;
  • a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • a statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on the copyright owner’s

We will review all valid notices and respond appropriately, which may include removing or disabling access to the allegedly infringing material. Filing a false notice may give rise to liability under 17 U.S.C. § 512(f).

F. Third-Party Sites and Offers

Our Platform may contains links to websites run and controlled by third parties (“Third Party Sites”). These links are provided to users as a convenience and service to our users. Some links may take you to Third Party Sites containing information that may be useful or of interest to you. We are not responsible for the content, accuracy, or opinions expressed on any Third Party Site or for the privacy practices of any third party. We will not, and are under no obligation to, investigate, monitor or check the Third Party Sites for accuracy or completeness, or for any obscene, scandalous, inflammatory, pornographic, indecent, profane, defamatory or unlawful content or materials. Inclusion of any link to a Third Party Site does not imply approval or endorsement of the Third Party Site or to any products or services provided or offered by a third party.

6. Pet Health Data and Records

You may be able to access your pet’s health records or other information via the Services or the Platform. The information contained on the Services or the Platform have been collected and/or prepared by Alliance Animal Health as a service to its users. We have used reasonable efforts to verify that the information available on the Services or Platform are useful to its users and accurate.

However, we do not warrant or guaranty the accuracy or timeliness of such information. Any questions about your pet’s health as indicated in the records should be directed to the applicable veterinary hospital team.

7. Communications

If you opt into marketing calls and text messages, you agree to receive phone calls and text messages from us, and from our affiliates, agents, representatives, assigns, successors, and service providers (collectively, the “Messaging Parties”), for marketing purposes related to Alliance Animal Health’s products and services. Consent is not a condition of any purchase. You understand that Alliance Animal Health and the Messaging Parties may also contact you via calls and text messages for transactional reasons (e.g. appointment reminders, service updates, etc.). You understand that you may be contacted through use of automated telephone dialing systems, artificial or prerecorded voice message systems and text messaging systems. You can opt out of receiving calls and text messages at any time. To opt out of receiving calls and text messages, call 914-369-1500; send us an email through info@allianceanimal.com; or, to stop text messages, reply “STOP”. We will send you one final message to confirm that you have been unsubscribed and will process your request within a reasonable time after receipt, in accordance with applicable laws. If you want to join again, just sign up as you did the first time.  If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or you can get help directly through our Get in Touch Page or by calling 914-369-1500. Carriers are not liable for delayed or undelivered messages. Message frequency varies. Message and data rates may apply. To the extent permitted by applicable law, you may not revoke your consent to receiving servicing or any other transactional communications about your Services. You authorize your wireless carrier to use or disclose information about your account and your wireless device, if available, to Alliance Animal Health or its service provider for the duration of your business relationship, solely to help your carrier to identify you or your wireless device and to prevent fraud. You can unsubscribe from promotional email communications at any time. To stop receiving our promotional emails, follow the unsubscribe instructions in the email messages you receive from us. We will process your request as soon as practicable after receipt, in accordance with applicable laws. Note that you will continue to receive transaction-related emails regarding products or services you have requested, and that, to the extent permitted by law, you will not be able to opt-out of those communications (e.g., communications regarding updates to these Terms or other terms).

THE SITE, THE APP, ANY OF OUR SERVICES AND ANY OTHER MATERIALS MADE AVAILABLE ON OR THROUGH THE PLATFORM ARE PROVIDED TO YOU “AS IS” WITHOUT ANY EXPRESS REPRESENTATIONS OR WARRANTIES OF ANY KIND. ALLIANCE ANIMAL HEALTH AND EACH OF ITS AFFILIATES DISCLAIM ALL STATUTORY OR IMPLIED REPRESENTATIONS, WARRANTIES, TERMS AND CONDITIONS WITH RESPECT TO THE SITE, THE APP, ANY OF OUR SERVICES, CONTENT, SEARCH RESULTS, INFORMATION AND MATERIALS MADE AVAILABLE ON OR THROUGH THE PLATFORM,  INCLUDING ANY REPRESENTATIONS OR WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND TITLE. YOU AGREE THAT YOU MUST EVALUATE, AND THAT YOU BEAR ALL RISKS ASSOCIATED WITH, THE USE OF THE SITE OR THE APP, INCLUDING ANY RELIANCE ON THE ACCURACY, COMPLETENESS OR USEFULNESS OF ANY CONTENT, SEARCH RESULTS, INFORMATION OR MATERIALS AVAILABLE ON OR THROUGH THE PLATFORM.

OUR PLATFORM AND OUR SERVICES DO NOT CONTAIN OR PROVIDE MEDICAL OR VETERINARY ADVICE. No veterinary-patient relationship is created by viewing, using, or interacting with our Site, our App, or any of our Services, including any communications through or about the Platform or Services, links to Third-Party Sites, or any assistance we provide through our Platform regarding any of our Partner Clinics. We shall not owe any duty of care in respect of any of the foregoing.

The Services, our Platform, and any other Materials available on or through our Platform should not be construed as professional veterinary or medical advice, diagnosis or treatment of any kind. Any Materials provided are intended for general informational purposes only, and are not intended, as applicable, to be instructional, for medical diagnosis or treatment, or to cover all possible diagnoses, treatment options, uses, directions, precautions, drug interactions or adverse effect. You are responsible for verifying the accuracy, reliability and completeness of such Materials and third-party content and information with your veterinary provider, and you should not rely on any such Materials or third-party content or information as a substitute for medical or veterinary diagnosis or treatment. ALLIANCE ANIMAL HEALTH SHALL IN NO WAY BE LIABLE TO YOU OR ANY INDIVIDUAL OR OTHER THIRD PARTY FOR ANY LOSSES OR DAMAGES INCURRED AS A RESULT OF YOUR USE OR RELIANCE ON ANY MATERIALS OR ANY CONTENT, PAGES, OR INFORMATION DISPLAYED ON, LINKED, OR OTHERWISE MADE AVAILABLE THROUGH OR FROM THE PLATFORM.

Please consult your veterinarian or other qualified health provider if you have any questions about a pet’s medical condition or before providing any drug to a pet, changing a pet’s diet, or starting or stopping any course of treatment for a pet. You should not disregard medical advice or delay seeking medical advice as a result of any information that does not come directly from your veterinary professional, and it is your responsibility to review and confirm any such information with your medical or veterinary professional prior to relying on it.

B. Indemnification

Except to the extent prohibited under applicable law, you agree to defend, indemnify and hold harmless Alliance Animal Health, each of our related and affiliated entities, our third-party partners, and any of our or their respective officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates from and against all claims, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of (1) your use of, or activities in connection with, the Platform or Services, (2) your violation or alleged violation of these Terms, or any applicable laws and regulations, (3) your violation or alleged violation of any intellectual property or other right of a third party and (4) any dispute between you and a third party, including any third-party partner or Partner Clinic. You may not settle any such claim or matter without the prior written consent of Alliance Animal Health. We reserve the right, but not the obligation, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and, in such case, you agree to cooperate fully with our defense of such claim.

C. Limitation of Liability

EXCEPT WHERE PROHIBITED BY LAW, NEITHER ALLIANCE ANIMAL HEALTH, NOR ITS RELATED AND AFFILIATED ENTITIES, NOR EACH OF ITS OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS OR ASSIGNS OF EACH, SHALL BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ALLIANCE ANIMAL HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  UNLESS OTHERWISE EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT WITH YOU, OUR MAXIMUM LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES, WHETHER IN CONTRACT, TORT OR OTHERWISE SHALL BE LIMITED TO THE AMOUNT YOU PAID TO ACCESS OR USE ANY OF THE SERVICES OVER THE 12 MONTHS PRECEDING THE DATE YOUR FIRST CLAIM(S) AROSE OR $100, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES, LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW. TO THE EXTENT THAT ONE OR ANY ASPECT OF THE LIMITATIONS SET OUT ABOVE DOES NOT APPLY, ALL REMAINING ASPECTS SURVIVE.

D. Governing Law and Venue; Dispute Resolution

This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute that is not subject to arbitration, or any issues involving arbitrability or enforcement of any provisions under the arbitration agreement, shall be brought in the appropriate state or federal court located in New York County, New York. You and Alliance Animal Health each irrevocably consent to the exclusive jurisdiction and venue of the state or federal courts in New York County, New York, for the adjudication of all non-arbitrable claims.

Class Action Waiver. YOU AND ALLIANCE ANIMAL HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Alliance Animal Health agree otherwise, no court may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. This class action waiver shall survive termination of these Terms.

E. Assignment

Alliance Animal Health may, without notice to you, assign these Terms and all of its right, title and interest hereunder to another entity. You may not assign, transfer, sublicense or otherwise delegate your rights or obligations under these Terms to any other person without our prior written consent.

F. Severability; Waiver

Any failure by us to exercise any rights or enforce these Terms shall not constitute a waiver of such rights or terms. If any provision of these Terms, or their application in a particular circumstance, shall be held by a court of competent jurisdiction to be contrary to law, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law. The remainder of these Terms or the application of such provision in other circumstances, shall not be affected thereby, and each provision hereof shall be valid and enforced to the fullest extent permitted by law.

G. Survival

The following provisions will survive expiration or termination of these Terms for any reason: Section 5(A) (License and Use — ownership provisions), Section 5(B) (Feedback), Section 5(C) (User-Generated Content), Section 5(E) (Intellectual Property), Section 5(F) (DMCA Notice), Section 8(A) (Disclaimers), Section 8(B) (Indemnification), Section 8(C) (Limitation of Liability), Section 8(D) (Governing Law and Venue; Dispute Resolution, including the Class Action Waiver), and this Section 8(G).

H. Notices

Except as otherwise expressly provided in these Terms, all notices, requests, consents, claims, demands, waivers, and other communications under these Terms must be in writing and addressed to the parties at their respective addresses set forth below (or to such other address that may be designated by the receiving party from time to time in accordance with this section). Notices sent to Alliance Animal Health must be sent to:

Notices will be deemed given: (i) when delivered by hand; (ii) when sent by email (with written confirmation of transmission); (iii) one business day after being sent by nationally recognized overnight courier (with written confirmation of receipt); or (iv) three business days after being sent by certified or registered mail, return receipt requested, postage prepaid.

You can leave the existing Links to Third-Party Sites section intact in the Privacy Policy, as the focus of this section is a little different.

If you own and operate vet clinics that are wholly owned subsidiaries, we may want to carve them out of this.
